Corporate M&A

Ernesto renders advice in the context of extraordinary transactions, i.e.  complex cross-border M&A (both inbound and outbound) in Italy with a focus – among others – on energy, healthcare, real estate, IT services and in general on industry and trade sectors.

He assists clients in corporate governance issues, in the implementation of legislative and regulatory provisions, including so -called “231/2001 models” company procedures and policies; in the process of internationalization of companies. Over the years, the consultancy has been extended to entities, companies in a state of crisis, composition procedures, extraordinary administration, alternative real estate investment funds in the process of judicial liquidation by order of the Bank of Italy, etc.

Real Estate

Ernesto provides advice in investment transactions for the acquisition/disposal (including by  real estate funds) of real estate portfolios and real estate complexes for commercial, residential, office and industrial use, hotels, as well as the development and management of real estate; property management contracts.

Insurance and financial regulation

He assists clients in issues regarding the access and exercise in Italy of insurance and reinsurance as well as as brokerage/distribution activities under the freedom to provide services or establishment regimes; advice includes drafting policies, registration with the Register of intermediaries (RUI), bancassurance agreements and horizontal distribution of insurance products; drafting of outsourcing service contracts, RCA claims management; transfer of insurance portfolios; insurance and self-insurance and contractual liability of the hospitals and health facilities and the practitioner of the profession (Gelli Bianco Law); insurance and management of major insurance claims in the pre-litigation phase.

He advices in transactions for the purchase and sale of credit portfolios; servicing contracts, restructuring of lines of intervention to support businesses.

Advice on the regulations applicable to non-bank financial intermediaries (consortia, payment institutions, securitization companies, 106 and 107 of the Banking Law) for the access and exercise of the activity in Italy; opening and closing of secondary offices in Italy, registration and implementation of the provisions applicable to the exercise of the activity (including the drafting of procedures and application manuals, etc.).
