Ernesto Pucci

Ernesto Pucci is regularly recognised by leading legal directories as a highly regarded practitioner in Insurance, M&A and Corporate Law, including Leaders League and Class – Milano Finanza.

Admitted to the Rome Bar in 1997, he is qualified to represent clients before the higher courts. He serves as Senior Vice Chair of the Insurance Committee of the International Bar Association (IBA) and is a member of AIDA – International Association of Insurance Law.

His practice focuses on civil and commercial law, with particular expertise in corporate transactions, insurance and financial regulation, and complex cross-border matters involving Italian and international clients.

He regularly advises on extraordinary transactions, including complex inbound and outbound cross-border M&A deals in Italy, with particular focus on sectors such as energy, healthcare, real estate, IT services, industry and trade. His practice also includes corporate governance, regulatory compliance and the implementation of internal procedures and policies, including Legislative Decree 231/2001 organisational models.

Over the course of his career, he has developed significant experience in advising companies in crisis situations, composition procedures, extraordinary administration and complex restructuring matters, including judicial liquidation processes involving alternative real estate investment funds.

His real estate practice includes advisory work on investment transactions involving the acquisition and disposal of real estate portfolios and assets — including through real estate funds — across commercial, residential, office, industrial and hospitality sectors, as well as real estate development, asset management and property management agreements.

He has also built extensive expertise in insurance and financial regulation, assisting clients in matters concerning market access and regulatory compliance for insurance, reinsurance and brokerage activities in Italy. His practice covers policy drafting, bancassurance agreements, insurance distribution, outsourcing contracts, portfolio transfers, claims management and major insurance disputes in the pre-litigation phase, with particular experience in healthcare and hospital liability matters.

His advisory work further extends to credit portfolio transactions, servicing agreements and the regulatory framework applicable to non-bank financial intermediaries, including payment institutions, securitisation vehicles and financial entities regulated under Italian banking law.
